These Terms of Service ("Terms") govern your use of www.seraphyncare.com and any related pages, forms, and tools we operate (the "Website"), and the consulting, educational, and staffing-related services described on it. "Seraphyn Care," "we," "us," and "our" mean Seraphyn Care Solutions. "You" means you and any organization on whose behalf you use the Website. By using the Website you agree to these Terms. If you do not agree, please exit the Website.

Our nurse staffing marketplace at staffing.seraphyncare.com may have additional or separate terms and a separate privacy policy. Where those apply, they control for your use of the marketplace.

1. Our Services

Seraphyn Care Solutions is a healthcare workforce consulting firm that also offers staffing services. Through the Website you may learn about our services, download resources, purchase books or courses, request a consultation, submit an inquiry as a healthcare facility or organization, or express interest or apply as a healthcare professional.

2. Eligibility and Accuracy of Information

You must be at least 18 years old and have authority to enter these Terms for yourself and any organization you represent. You confirm that everything you submit, including your identity, contact details, licensure, certifications, experience, qualifications, availability, and facility or staffing-need information, is accurate, complete, and current. You are responsible for violations of these Terms by your employees and agents.

3. Consulting and Educational Content: Informational Only

Articles, guides, tools, benchmarks, calculators, courses, and other content are for general informational and educational purposes only. They are not legal, financial, accounting, human resources, regulatory, or medical advice, and they do not guarantee results such as reduced turnover, lower agency spend, or improved staffing outcomes. Results depend on factors specific to each organization. Consult your own qualified advisors before making staffing, employment, or compliance decisions. No consulting relationship exists unless we both sign a separate written agreement.

4. Staffing Services

• Separate agreements govern placements. Submitting an inquiry, application, or profile through the Website does not create an employment, contractor, or placement relationship. Any engagement of a healthcare professional or any provision of staffing services to a facility is governed by a separate written agreement, such as a staffing services agreement, assignment confirmation, or worker agreement. Depending on the service and the applicable written agreement, Seraphyn Care may act as a staffing agency that employs or engages professionals and places them with facilities, or as a marketplace that connects facilities with independent healthcare professionals. The applicable agreement will identify our role.
• No guarantee. We do not guarantee that any professional will receive a placement, shift, job offer, or particular pay or schedule, or that any facility will find a suitable candidate or fill any position.
• Credentials and compliance. Professionals are solely responsible for holding and maintaining valid licensure, certifications, and work authorization required for any assignment. Facilities remain responsible for their own credentialing, onboarding, orientation, supervision, and compliance obligations. Our screening, where performed, does not replace a facility's own verification.
• Clinical judgment. Healthcare professionals are responsible for their own clinical judgment and practice within their scope of licensure. We do not provide, supervise, or direct clinical care through the Website.
• Equal opportunity. We do not discriminate on the basis of any characteristic protected by applicable law, and we expect users not to request or provide staffing based on such characteristics.
• Background checks. Where applicable, background checks or other consumer reports will be requested only with the disclosures and authorizations required by law, provided separately from these Terms.
• Communications. If you provide a mobile number, you may receive calls or text messages about opportunities, assignments, or services, with your consent where required. Message and data rates may apply. You can opt out at any time by replying STOP or contacting us. Consent is not a condition of purchase or of using our services.

5. No Patient Information

Do not submit patient information or protected health information (PHI) through the Website, including in forms, applications, or messages. The Website is not designed to receive PHI.

6. Accounts, Restricted Areas, and Confidential Information

If you are given an account, login, or access to a restricted area of the Website (including portals or document uploads):

• Keep your credentials confidential, do not share them, and notify us promptly of any loss or unauthorized use. You are responsible for activity under your account.
• Information accessible through restricted areas, such as job orders, rates, client information, and personal or credentialing information about healthcare professionals, is confidential. Use it only for the permitted purpose of evaluating or carrying out an existing or prospective relationship with us, limit access to people who need it, and protect it with reasonable care.
• You must promptly notify us of any suspected breach involving this information and cooperate with us as reasonably needed.
• We may suspend or close accounts at any time.

7. Purchases, Courses, and Digital Products

• Pricing and payment. Prices are shown at checkout and may change. Payments are processed by third-party providers, and we do not store full card details.
• License. Digital products and course content are licensed, not sold. You receive a personal, non-exclusive, non-transferable, revocable license for your own internal use. You may not share access or credentials or resell, redistribute, or publicly post the materials without our written permission.
• Refunds. The refund terms presented at checkout or with the applicable product govern each purchase.
• Third-party platforms. Some products are delivered through third-party platforms that have their own terms.

8. Intellectual Property

All content on the Website, including text, graphics, logos, frameworks, templates, tools, course materials, and the "Seraphyn Care Solutions" name, is owned by or licensed to us and protected by law. You may use materials for your own personal or internal business purposes only. You confirm you have the right to share what you submit. We are not responsible for deleting or failing to store submissions.

You agree not to:

• Violate any law or regulation, or submit false, misleading, or fraudulent information, including falsified credentials.
• Submit defamatory, harassing, discriminatory, obscene, or infringing material.
• Send spam or unsolicited marketing through the Website.
• Attempt unauthorized access, circumvent security, introduce malware, or interfere with the Website's operation.
• Scrape or extract data, including professional or facility information, without our permission.
• Impersonate any person or entity.

We may remove content or restrict access if we believe in good faith that these rules have been violated.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SERAPHYN CARE SOLUTIONS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM USE OF THE WEBSITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE WEBSITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100. This section does not limit liability under any separate signed agreement to the extent that agreement says otherwise. Some jurisdictions do not allow certain limitations, so some may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Seraphyn Care Solutions and its owners, officers, employees, contractors, and clients from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Website, your violation of these Terms or any law, or your violation of third-party rights.

16. Term and Termination

We may modify, suspend, or discontinue the Website or your access at any time, with or without notice. You may stop using the Website at any time and, if you have an account, ask us to close it. On termination, you must delete any confidential information you obtained from restricted areas, except as the law requires you to retain it. Provisions that by their nature should survive (intellectual property, confidentiality, disclaimers, liability limits, indemnification) will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts in Sacramento County, California, and you consent to that jurisdiction.

We may update these Terms. For material changes we will post the revised Terms with a new effective date before they take effect. Changes apply going forward. Continuing to use the Website after the effective date means you accept the revised Terms.

19. General

These Terms, together with any separate written agreement with us, are the entire agreement between you and us about the Website. You may not assign your rights without our written consent. Our failure to enforce a provision is not a waiver. If a provision is unenforceable, the rest remain in effect. No partnership, joint venture, employment, or agency relationship is created by your use of the Website. Headings are for convenience only. We may seek injunctive relief to protect our confidential information and intellectual property.
